SICK AG and Endress+Hauser AG – Strategic partnership agreed

The industry is undergoing change. The main drivers are climate protection and the long-term transition to non-fossil fuels and raw materials. This transformation process towards a CO2-neutral global economy requires new technologies and solutions, including for process automation. German sensor company SICK and Swiss measurement technology specialist Endress+Hauser have signed a memorandum of understanding for a strategic partnership in the field of cleaner industries. Both companies see great opportunities in working together to contribute to a sustainable energy supply and support customers in the process industry along the entire value chain in achieving their sustainability goals.
Companies want to reduce their energy and resource consumption and switch to non-fossil fuels and raw materials in the long term. The new process technologies required for this must be monitored and controlled by intelligent sensors and systems. SICK and Endress+Hauser are responding to market dynamics in process automation and want to explore new avenues of cooperation in the future.

The aim of the collaboration is to jointly market and further develop SICK’s analysis technology and gas flow measurement technologies. This will enable customers to receive even better support in future-oriented areas such as climate and environmental protection, energy transition, and the hydrogen economy along the entire value chain. The intention is for both companies to hold a 50 percent stake in the joint venture and to share management responsibilities equally. Endress+Hauser intends to contribute financially, provide technological expertise, and open up new global sales channels. SICK will contribute the product-generating units of its “Cleaner Industries” division, with several development and production sites in Germany, to the joint venture. The sales and service employees of the global SICK sales and service units focusing on cleaner industries are to be transferred to the Endress+Hauser sales centers. This will be followed by a phase of careful review of the relevant business areas and the drafting of contracts by both partners. This is scheduled to be completed in the first quarter of 2024 with the official signing of the agreement on the merger and related transactions (“signing”) by both partners. The closing is planned for mid-2024.

The existing product and solution portfolios of SICK and Endress+Hauser in process technology are complementary and decisive in their respective applications. SICK develops, produces, and distributes analysis applications in its “Cleaner Industries” business area, for example in the field of emission control for traditional energy sources. In addition, SICK’s ultrasonic flow meters are already capable of reliably measuring natural gas-hydrogen mixtures, thus supporting the transition to non-fossil energy sources. With intelligent solutions for waste incineration plants, power, steel, and cement plants, for the oil and gas industry, and for chemical and petrochemical plants, SICK has been making an important contribution to preserving a livable environment for decades.
